Step 1: Passing a Board Resolution
A resolution to change the company’s name must first be approved by the board of directors during a board meeting. Nimble Trio experts will assist you in obtaining approval for the new name from the directors. We will then assign a company secretary (CS) to coordinate with the MCA and check the availability of your proposed company name.
Step 2: Checking for Name Availability
The authorised Nimble Trio specialist will apply to the MCA in Form INC-1 to verify the availability of the proposed name. Our team can also perform a trademark search to ensure the name is legally available for use.
Step 3: Passing a Special Resolution
Once the new name is confirmed, our experts will help you organise an extraordinary general meeting (EGM). During this meeting, shareholders must pass a special resolution to approve the name change and update the company’s Articles of Association (AoA) and Memorandum of Association (MoA).
Step 4: Applying to the Registrar
Within 30 days of passing the special resolution, Form MGT-14—containing the details of the resolution—must be filed with the Registrar of Companies (RoC). Afterward, Form INC-24 should be submitted to the RoC along with the prescribed government fee within 30 days of filing MGT-14. This step is required to obtain the central government’s approval for the company name change.
